Form 5472 is an information return for reporting corporations with reportable transactions. A foreign-owned U.S. disregarded entity is treated as a corporation for these limited reporting rules, but the filing outcome depends on the ownership, entity classification and transactions in the tax year.

That is why “zero revenue” is not a conclusion by itself. Owner funding, distributions, payments and other related-party activity can matter. We start with a facts-based compliance check before recommending a filing path.

Form 5472 and pro forma Form 1120

The IRS states that a foreign-owned U.S. disregarded entity required to file Form 5472 files a pro forma Form 1120 with Form 5472 attached. The filing is an information-reporting obligation; it is not a shortcut for determining income-tax liability or every state obligation.

We use the IRS Form 5472 instructions as the source framework and map it to the company records before preparing any filing.

Extensions, deadlines and filing history

For an eligible foreign-owned U.S. disregarded entity, Form 7004 can request an extension when filed by the regular due date. The tax year, prior filings and entity facts determine the calendar, so we confirm the specific timing rather than relying on a generic date online.

Does every foreign-owned LLC need Form 5472?

No. The requirement depends on the entity classification, foreign ownership and whether there were reportable transactions. A consultation reviews those facts before a filing recommendation is made.

Does no operating revenue mean there is no filing requirement?

Not necessarily. Operating revenue and reportable related-party transactions are different questions. Owner funding or other transfers can be relevant, which is why we review the transaction context.

Can Form 7004 extend the filing deadline?

For an eligible foreign-owned U.S. disregarded entity, Form 7004 can request an extension when it is filed by the regular due date. We confirm the correct calendar from the facts of the entity.

Do you file state annual reports?

State annual reports and franchise taxes have separate rules and deadlines. We identify the relevant deadline and scope state filing work separately from federal information reporting.
